Please read these Terms and Conditions ('Terms') carefully before using the Listd.ph website and its services (the 'Service') operated by Brainstorm IT ('us', 'we', or 'our').

Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.


1. The Service

Listd.ph is an online platform that provides a space for licensed real estate brokers, agents, developers, and property owners to list, market, and advertise property for sale or rent in the Philippines, and for property seekers to browse these listings and connect with the listers.

  • Listd.ph is a venue only: We are not a party to, or an intermediary or participant in, any direct transactions between property listers and property seekers. We do not sell, buy, or rent any properties ourselves.
  • Accuracy of Information: We do not guarantee the accuracy, completeness, or legality of any listing or any information provided by listers. Users must conduct their own due diligence.


2. User Accounts and Registration

2.1 Eligibility

To be a lister (broker, agent, developer), you must be legally eligible to operate in the Philippines and, for brokers/agents, possess a valid and current professional license from the Professional Regulation Commission (PRC).

2.2 Account Responsibility

  • You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account.
  • You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

2.3 Broker/Agent Verification

Listd.ph reserves the right to require and verify the PRC license number and relevant documentation of any user listing properties as a broker or agent. Failure to provide valid documentation upon request may result in the suspension or termination of the account.


3. Listing Rules and Guidelines

3.1 Lawful Listings

All listings and transactions must comply with all applicable Philippine laws, ordinances, and regulations, including but not limited to the Real Estate Service Act (RESA) and relevant tax laws.

3.2 Listing Accuracy

  • Listings must accurately describe the property, including price, features, location, and legal status. Misrepresentation is strictly prohibited.
  • Exclusive Listings: Users must only list properties for which they have the legal right and authority to advertise.

3.3 Prohibited Content

You may not post, transmit, or otherwise distribute any listing or content that:

  • Is false, misleading, deceptive, or fraudulent.
  • Infringes upon any third party's intellectual property or proprietary rights.
  • Contains discriminatory content based on race, religion, gender, etc.
  • Is defamatory, obscene, or violates public order or morals.

3.4 No Duplicate Listings

Listd.ph enforces a strict policy against listing the same property multiple times to ensure a high-quality user experience. Duplicate listings may be removed without warning.


4. User Obligations

4.1 Indemnification

You agree to indemnify and hold harmless Listd.ph and its affiliates, officers, directors, and employees from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your listing content, or your breach of these Terms.

4.2 Prohibited Use

You may not use the Service for any purpose that is unlawful or prohibited by these Terms. This includes, without limitation:

  • Attempting to gain unauthorized access to any portion or feature of the Service.
  • Using automated means (bots, scraping, etc.) to access or collect data from the Service without express written permission.
  • Interfering with the proper working of the Service.

5. Intellectual Property Rights

5.1 Listd.ph Content

The Service and its original content, features, and functionality are and will remain the exclusive property of Listd.ph and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Listd.ph.

5.2 User Content License

By submitting content (including images, text, and descriptions) to the Service, you grant Listd.ph a perpetual, non-exclusive, royalty-free, worldwide license to use, reproduce, modify, publish, and distribute your content in connection with the operation of the Service.


6. Termination

We may terminate or suspend your account and deny access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms, specifically for:

  • Posting fraudulent or misleading listings.
  • Engaging in unlicensed real estate practice (for brokers/agents).
  • Violation of the law.

7. Limitation of Liability

In no event shall Listd.ph, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use the Service;
  • Any conduct or content of any third party on the Service;
  • Any content obtained from the Service; and
  • Unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.

8. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall be submitted to the exclusive jurisdiction of the courts of Philippines, to the exclusion of all other courts.


9. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
